These Terms of Service ("Terms") govern your access to and use of sedulouscommerce.com (the "Site") and the advertising and marketing services (the "Services") provided by Sedulous Commerce LLC, doing business as Sedulous Commerce ("Sedulous Commerce," "we," "us," or "our"). By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
Sedulous Commerce is a digital advertising agency. Our Services may include paid advertising planning and management, creative production, CRM setup and automation, workflow orchestration, content creation, and communications including email and SMS text messaging. The specific scope of Services provided to a client is defined in a separate written agreement, proposal, or statement of work.
Advertising campaigns are operated on behalf of, and for the benefit of, the individual client who engages us. Each campaign runs inside that client's own advertising account under that client's own brand. Consumer inquiries generated by a client's campaign are collected for and controlled by that client and are delivered into that client's own systems, where the client owns and manages them.
You must be at least 18 years old and capable of forming a binding contract to use the Site and Services. By using the Site, you represent that you meet these requirements.

Fees, billing terms, and payment schedules for the Services are set out in your separate written agreement or invoice. Unless otherwise stated, fees are non-refundable. Late or unpaid amounts may result in suspension of Services.
The Site and its content (excluding client-provided materials) are owned by or licensed to Sedulous Commerce and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute our content without permission. Work product created specifically for a client is governed by the applicable client agreement.
Our Services rely on third-party platforms (such as Google, Meta, CRM and messaging providers). We are not responsible for the availability, performance, policies, or actions of these third parties, and your use of them may be subject to their own terms.
Advertising outcomes depend on many factors outside our control. While we apply professional best practices, Sedulous Commerce does not guarantee any specific number of inquiries, appointments, conversions, revenue, or results.
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, SEDULOUS COMMERCE AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Sedulous Commerce from any claims, damages, liabilities, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
We may suspend or terminate your access to the Site or Services at any time for violation of these Terms or applicable law. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Broward County, Florida.
We may update these Terms from time to time. The "Last Updated" date reflects the most recent changes. Continued use of the Site or Services after changes constitutes acceptance of the updated Terms.
